Harrington Partners — Partnership Agreement

Please read this agreement carefully before signing.

Effective from the date of digital acceptance.

Parties

This agreement is between Harrington Partners ("the Company") and the individual or entity completing this application ("the Partner").

Nature of the Relationship

The Partner is an independent professional or entity. This agreement does not constitute employment, a joint venture, or an exclusive arrangement. The Partner operates independently and is free to work with other organisations unless a specific conflict of interest arises.

Scope of Partnership

The Partner may participate in one or more of the following activities:

  • Client referral and business development
  • Account management and client relationship ownership
  • Candidate research, sourcing and delivery
  • Administrative support (internal team only)

The specific steps and activities assigned to each Partner will be agreed on a per-engagement basis.

Compensation

Partners are compensated based on a step-ownership model. Each stage of a recruitment deal — from client referral through to candidate placement — carries an independently claimable compensation percentage. Full compensation details, percentages, and eligibility rules are provided in the Partner Compensation Schedule, shared upon onboarding completion.

Payments are made following successful placement and client invoice settlement. No compensation is payable in the event of deal cancellation prior to settlement.

Confidentiality

The Partner agrees to keep all client information, candidate data, fee structures, internal processes, and business information strictly confidential during and after the term of this agreement.

Non-Solicitation

For a period of 12 months following the end of this agreement, the Partner agrees not to directly solicit or approach any client or candidate introduced through Harrington Partners for purposes outside of this partnership.

Code of Conduct

Partners are expected to represent Harrington Partners professionally at all times. Any behaviour that damages the reputation of the Company, or any misrepresentation to clients or candidates, will result in immediate termination of this agreement.

Intellectual Property

Any tools, systems, processes, or materials created by Harrington Partners — including the Partner Operating System — remain the sole intellectual property of the Company.

Termination

Either party may terminate this agreement with 30 days written notice. The Company reserves the right to terminate immediately in the event of a breach of confidentiality, non-solicitation, or code of conduct obligations.

Governing Law

This agreement is governed by the laws of the Kingdom of Saudi Arabia. Any disputes will be resolved through good-faith negotiation in the first instance.

By digitally accepting this agreement on the application form, the Partner confirms they have read, understood, and agree to all terms set out above.
